一、租赁标的:

甲方同意将 及其设备在良好状态下租给乙方。

Party A hereby agrees to lease and the fixtures, fittings and equipment therein is cleaned and in tenantable conditions to Party B.

二、租期:

2.1 租赁期为年,自 年 月 日起至 年月 日止。

The above property is hereby leased for a term of___, commencing on ___ and expiring on __ _.

2.2在租期开始三日前,出租房屋及其家俱电器应已装修或安装布置完毕,处于可供租赁的良好状态。若部分家具未搬入出租房屋,乙方需在一周内解决。

The above property and its equipment and furniture shall be fully renovated or installed and in tenantable condition three days before the commencement of the lease. Party B shall solve the problem within one week if there is some furniture not move in the house.

2.3租期届满,甲方有权收回出租房屋及全部家俱、电器(包括附件二所例所有家具、设备),乙方亦应如期交还; 乙方如要求续租,则享有优先续租权,但必须在本租约期满前二个月向甲方提出书面申请,租金双方另行协商。

On expiry of this lease, Party A has the right to take back the leased property (including all the furniture, fittings and equipment listed in Appendix II)in full, and Party B must deliver the leased property on the date of expiry. If Party B wishes to extend the lease, Party B shall have the priority to renew the lease with two months advance written notice to Party A. The revised rental shall be negotiated between the two parties.

三、租金:

3.1 租金每月为人民币 元, 包括家具、电器(见附件二)、物业管理费, 房租完税发票, 会所家庭会员卡,电话安装费,宽带初装费,卫星电视费用,二个车位。

The rent is _ per month, including furniture, electrical appliances (See appendix II), management fee, tax invoice and family club membership card. Telephone line. ADSL register fee, Satellite fee and two car park place.

3.2甲方应在每月一日之前出付款通知给乙方。乙方支付甲方每月的租金,应在每个月的第

一天以前汇至甲方指定的银行帐号(按附件3汇款指示),支付租金日期以乙方汇出日期

为准。甲方必须在乙方每次支付后十日内向乙方开具正式完税发票。如若拖欠有关发票,

乙方有权延付租金。

Party A shall issue a payment to Party B before the first day of each calendar month. Party B shall pay each month’s rent in advance, on or before the first day of each calendar month, by remitting the amount of such rent to a bank account designated by Party A (as referred to in Appendix III). The date of remittances shall be the date of payment. Party A shall provide to Party B the official after-tax invoice within ten (10) days after Party B makes each payment. In case Party A fails to do so, Party A shall be treated as in breach of this Agreement and Party B shall have the right to withhold rental payment.

3.3本租约签订后的第一个月租金, 乙方应于 入住前3个工作日内全额到付给甲方。

Part B shall pay the rent for first month in full within three working days before the Lease Commencement Date after signing of the Lease Agreement.

3.4租金款以人民币支付。

The rent shall be paid in RMB.

3.5 在本租约有效期内,租金不予调整。

The rent cannot be adjusted during the term of this Tenancy Agreement.

四、押金:

Deposit:

4.1自本租约签订之日起五个工作日之内,乙方应向甲方缴付相当于两个月租金额的租赁押金计人民币 。租约期满,乙方如不再续租,甲方应在租赁期结束后十日内(在乙方将全部水,电,煤气费和中央空调费等杂费及电话费付清后)将押金退还(不计利息)。如因帐期原因,乙方承担的全部水,电,煤气费和中央空调费等杂费及电话费无法在十日内付清,甲方有权保留部分押金并在上述项目付清后十日内返回给乙方,但保留的押金部分不因超过上一帐期应付额的二倍。

Within five working days after signing of this Tenancy Agreement, Party B shall pay to Party A two months rent as deposit, which is equivalent to RMB 48000 in total. On completion of the tenancy period, if Party B will not continue to rent the leased property, Party A must return the deposit in full to Party B (without interest) within ten days after the termination of the Lease Agreement under the condition that Party B has paid all the outstanding utilities fee such as water, electricity, gas, central air-conditioning fee and telephone bill. If such outstanding utilities fee could not be settled because of limitation of the account due date, Party A has the right to keep part of the deposit and pay back this part to Party B after the outstanding utilities fee settled. However the kept part of deposit should be limited to as much as twice of the previous account period.

4.2 乙方如在租赁期内,因乙方原因而终止租约(不可抗力除外),押金不予退还。乙方在租约开始的十八个月后被公司解聘或调职至另一城市,乙方应提前二个月书面通知甲方,且本租约于通知发出二个月后解除,同时甲方应全额返还乙方已支付押金。

If Party B terminates the Tenancy Agreement during the lease term for reasons other than Force Majeure, the paid deposit will not be refunded. In the event that Party B terminates the lease Agreement due to left Shanghai by its company in reason of working requirement (shall be with the company’s certificate), party B shall inform Party A with written notice two month in advance, and the lease shall be automatically terminated without any penalty.

4.3 甲方因乙方违反本合同的规定而受的损失,可在保证金中扣抵合理数目,在甲方作出该种扣抵前,需通知乙方将被扣抵的金额和理由,乙方有权拒绝不合理或不公正的抵扣,不足部分乙方必须在接到甲方付款通知后10天内补足。

Party A may deduct a reasonable amount from the security deposit towards payment of any actual damages Party A may have incurred or suffered as a result of Party B’s breach of this Agreement. Prior to making such deductions, Party A shall inform Party B of the amount which it intends to deduct and the reason for making such deductions. Party B shall be entitled to object to such deductions if Party B believes that such deductions are unreasonable or unjustified. If the security deposit is not sufficient to cover such amounts, Party B must pay the deficiency within ten (10) days of the receipt of a demand from Party A.

4.4押金以人民币支付,甲方收到押金后,向乙方开具收据。

The deposit shall be paid in RMB. Party A shall issue an official receipt on the receipt of deposit.

4.5 在租赁期满二十三个月后,如果乙方不将续租于该单元,最后一个月发生的租金可用押金抵销。

After twenty three months of Tenancy, if Party B decides not to renew the contract, then part of the deposit which equals to one month rental can be used to offset the last month rental

五、其它费用:

Other Charges:

5.1乙方在租赁期内所用的水、电、煤气, 管理公司每月按实际耗用量结算,乙方按单缴付。

During the period of tenancy, Party B shall pay monthly all charges for usage of water, electricity and gas based on the actual consumption amount billing from the management office.

5.2乙方所用电话, 按电信局标准收费,每月根据实际用量结算,乙方按单缴付。

All telephone charges shall be paid by Party B and based on the actual usage according to the Telecommunication Bureau standard tariffs on receipt of the bills

5.3乙方所用宽带使用费,每月为_ __,由 乙方支付。

The monthly board band usage fee is RMB__ __ per month, it should be borne by Party _B__

六、甲方的责任:

Landlord’s Responsibilities:

6.1 本租约签订后,甲方不得无故收回房屋,如甲方中途要求收回房屋,乙方有权拒

绝。

Party A is not permitted to take back the leased property during the term of contract without any reason. If Party A wishes to do so, Party B has the absolute right to refuse.

6.1-1如乙方同意解除租约且乙方已按4.1条约定交纳租金及押金并已入住, 则甲方必须双倍返还乙方已付押金,本租约于甲方发出解约通知二个月后终止。

If Party B agrees to terminate the Agreement whereas Party B has paid the rent and deposit according to Clause 4.1 and has moved in to the properties, Party A shall return the deposit twice as much as the original amount to Party B, and the Agreement will be terminated two months later after Party A issues the notice.

6.1-2如乙方同意解除租约且乙方已按4.1条约定交纳租金及押金但尚未入住, 则甲方必须双倍返还乙方已付押金, 且本租约自甲方发出解约通知之日起终止。

If Party B agrees to terminate the Agreement whereas Party B has paid the rent and deposit according to Clause 4.1 but has not moved in the property, the Agreement will be terminated when party A inform Party B with written notice of termination, and Party A shall return the deposit twice as much as the deposit which Party B has already paid.

6.1-3本租约签订后, 乙方未交纳租金和押金前, 若甲方欲解除本租约, 则应向乙方支付相当于贰个月租金的赔偿金。

If Party A wants to rescind the Agreement after the signature of this Agreement, and Party B has not pay the rent and deposit by that time, the Agreement can be terminated only after Party A has paid two months rent to Party B as compensation.

6.2 提供充分的保安, 消防工作及安静清洁的居住环境。如果该房屋中存在有害气体、噪音,乙方有权终止本协议,甲方应返还乙方全额押金。

To provide adequate security, fire prevention and quiet & clean circumstance. If there is poisonous gas, noises in the apartment, Party B has the right to terminate this Agreement immediately. Party A shall refund the whole amount of deposit to Party B.

6.3甲方应保证管理公司向乙方提供足够的服务, 如冷水, 热水, 电的供应及各种设备的正常工作。

To ensure that the estate management office to provide sufficient and timely service to Party B, such as supply of cold water, hot water, electricity and to ensure the proper maintenance of all kinds of equipment.

6.4甲方应负责租赁期内房屋及其设备的正常维修,并承担维修房屋及设备的正常磨损而产生的费用。

Party A shall responsible for all normal maintenance of leased property and equipment during the term lease, and Party A shall bear all maintenance charges.

6.5 甲方应对甲方的固定设施,包括该物业的或引入该物业的结构、屋顶、管道 设施、排污、管道和缆线(包括电力及电话)等进行维护,使之处于完好、可租赁状态;如果对上述各项的造成的损坏或破坏不是由乙方或其助理的不慎、疏忽或不良行为造成的,则甲方在收到乙方发出的通知后迅速修理或修缮该损坏处。甲方应在合理时间内以及在提前向乙方通知后进入该房屋进行必要的维修或修缮工作。若七天内甲方仍不能修缮或修缮无效,乙方有权以书面形式通知甲方终止本租赁合同,乙方已缴付的保证金将如数归还乙方。

To maintain and keep Party A’s fixtures, including the structure, roof, sanitary and plumbing facilities, drains, pipes and cables (including electricity and telephone) in good leasing condition. Party A should promptly repair or remedy any defects therein after being notified of such defect by Party B, provided all such defects are not as a result of the Party B’s, or its assistant’s negligent action, omission or misconduct. Party A shall enter the said premises to do the necessary repairs or maintenance at reasonable time and with advanced notice to the Party B. If Party A fails to repair the said premise in comply with the demand issued by Party B to rectify it within seven (7) days after receipt of such demand, Party B shall be entitled to issue a written notice to Party A to terminate this Agreement, and the security deposit paid by Party B shall be returned in full to Party B.

6.6若甲方违反此租约的条款并在乙方发出书面通知14天后仍未改正,乙方有权终止此租约,收回押金,且有权进一向甲方要求索赔

When Party A seriously breaches the Tenancy Agreement and fails to remedy the breach after written notification of fourteen (14) calendar days given by Party B, Party B shall have the right to terminate the Tenancy Agreement and Party B shall be entitled to withdraw the deposit without deduction and without prejudice to its right to claim for any losses and damages against Party A.

6.7甲方谨在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋于乙方。就本合同及出租此出租房屋予乙方之事,甲方已取得所有有关机构的批准,包括政府批准及/或 抵押权人的同意(如适用)。甲方于本合同所作出的声明及保证,如有错误或违反者,甲方须就乙方因此而引致的任何损失、损害、支出及费用作出全部补偿(包括但不限于法律费用)。

Party A hereby represents and warrants that Party A is the legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the leased property to Party B, including any necessary government approvals or registrations and/or mortgagee consent (if applicable).

6.8 如在租赁期内,出租房屋发生所有权全部或部分的转移、或其他影响乙方权益的事情时,甲方应保证所有权人或其他影响乙方权益的第三者,能继续遵守本合同所有条款。纵使出租房屋已被转移,如乙方于本合同下的权益受此等所有权人或第三所影响或损害,甲方须负责补偿乙方的所有损失、损害、支出及费用。

If during the term of this tenancy, all or part of the leased property is transferred to a third party by Party A, or Party B’s right to use the leased property is otherwise affected, Party A shall ensure that such transferee or third party having an effect on Party B’s right to use the leased property will continue to abide by the terms of this Agreement. Even if the leased property is transferred where a transferee or a third party affects Party B’s interests under this Agreement, Party A shall continue to be liable to keep Party B fully indemnified against any costs, expenses, losses and damages suffered by Party B.

七、乙方责任:

Tenant’s Responsibilities:

7.1乙方应按本租约第三、五条约定,按期交纳租金及其他费用,如出现迟延支付的情形,则甲方有权以乙方已付押金抵付;若其已付押金不足以抵付,则甲方有权按4.4条的约定要求乙方限期补足(押金及其他应付款项);若超过限定期限30天,乙方仍未支付的,则甲方有权解除本租约。

Party B should promptly pay the rent, deposit and other charges as set out in Clauses 3 and 5 of the Agreement. In the event that Party B fails to pay the rent and any of the charges according to the time limit and methods as specified in this Agreement, Party A has the right to deduct from the deposit for such losses and damages suffered and expenses incurred. When the deposit is insufficient for reasons herein, Party A has the right in accordance to Clause 4.4, request Party B to make-up the deposit to full amount within the time limit. If Party B fails to bring up the deposit to the full amount for over thirty (30) days after the time limit, Party A has the right to terminate this Agreement.

7.2 本租约签订后, 若乙方未按本租约的约定支付首月租金及押金超过十五日以上,甲方有权解除本租约, 同时有权向乙方索取相当于贰个月租金金额的赔偿金, 而无需提前通知乙方。

In the event that Party B fails to pay the rent for the first month and deposit according to the stipulation of this Agreement for more than 15 (fifteen) days, Party A is entitled to terminate this Agreement without prior notice, and at same time Party B should pay two months rental to Party A as compensation.

7.3 租赁期内未经甲方同意,乙方不能转让其所租房屋,私自转让无效。

During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property.

7.4 乙方应爱护房屋及其设备,如因使用不当而导致损坏,乙方应负责赔偿。

Party B must take good care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.

7.5除房内已有的装饰和设施之外,乙方如要增加设备或其他装修须征得甲方同意。租赁期满,乙方向甲方交还房产时,必须恢复其原状(正常磨损除外),且承担相应的费用。

In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decoration to such property, Party B should get the consent of Party A. On completion of the Lease, Party B must hand over the property to Party A in its original condition (except for normal wear & tear) and all fees arising for re-instatement of such shall be borne by Party B. In this respect, the consent to hang up pictures on the walls is already given by Party A.

7.6由于乙方或与乙方有关系的官员、上司、雇员、客人、来访者、雇佣工人、代理、执照持有者或被邀请人等(统称与乙方相关的人)的粗心、疏忽或故意而造成房屋的损害或损失的,乙方应当承担赔偿责任,并允许甲方或其代理人在事先通知后进入房屋,对房屋的损失或损害进行弥补及修复,由此所发生的费用由乙方负担。

To indemnify Party A for any loss or damages to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or invitee of Party B (each referred to hereinafter individually as an “associate”), to permit Party A or his authorized representatives with advance notice to enter the leased property to repair any such loss or damage at the expense of Party B.

7.7在甲方合理的预先通知后,乙方应允许甲方或其代理人在有理由的情况下进入及巡视房屋,进行必要的维修或修复工作;在租赁期最后一个月内,允许甲方或其代理人带领有意租赁或购买房屋的客人视察房屋,但乙方已按第2.3条书面通知甲方将续租的除外。

With Party A’s reasonable notice in advance, Party B should permit Party A and person authorized by Party A under reasonable circumstances to enter and view the leased property, to carry out any work and repairs which is deemed necessary. During the last one month of the Agreement, Party A has the right to show the leased property to prospective tenants or purchasers, unless according to clause 2.2, Party B has informed Party A of its intention to renew the Lease.

7.8在未经甲方书面同意下,乙方不得擅自设立、安装或移动设施及设备,不能擅自设立隔断,不得擅自对房屋的结构改动或增加。

Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

7.9租赁房屋过程中,必须严格遵守中华人民共和国的有关法律、细则、规章及法令的规定, 并严格禁止乙方利用房屋进行违犯法律及不道德的行为。

Strictly to comply and adhere in the use of the leased property according to all laws, regulations and decrees of the People’s Republic of China, and specifically not to permit the leased property to be used for any purpose that is unlawful or immoral.

7.10房屋除供乙方居住之外,未经甲方书面同意,房屋不可作办公或协议未曾说明之用。

The leased property is only for residential use. Party B shall not use the leased property as office or some other purpose without the written agreement of Party B.

7.11未经甲方书面同意, 屋外不得擅自放置标示板及陈列任何设施,不允许在房外、窗及门上挂晒衣物以影响房屋外观面貌。

Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A。

八、房屋不能居住时其他事件

Other things:

房屋由于火灾、恶劣天气、战争或其它甲方不可抗拒因素, 而不是因为乙方直接或间接的疏忽及故意行为造成房屋毁坏而不能被正常使用及居住时,乙方从该日起停止支付租金,直至房屋可再被使用及居住时为止,甲方根据自己的意愿及经济、实际意义等原因,没有义务必须修缮复原房屋。若此情况发生,甲方应书面通知乙方, 并在作出上述通知的十天之内将押金及预付租金全部退还乙方。

If the leased property are substantially destroyed or damaged by fire, bad weather, war, force majeure, or other causes beyond the control of Party A and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, however, that the Party A shall be under no obligation to repair the leased property, when in Party A’s opinion, it is not reasonably or economically or practically to do so. If such an event occurs, Party A shall give a written notice to Party B, and the deposit and the rest of rent paid by Party B shall be returned in full within 10 days of said notice.

九、适用法及争议的解决:

Legislation & Arbitration of the Dispute:

本租约受中华人民共和国法律的约束,如发生与本租约有关的争议,由双方友好协商解决,协商不成,提请设在上海的中国国际经济贸易仲裁委员会上海分会,依该委员会在仲裁申请提出时有效的仲裁规定进行仲裁,仲裁在上海进行,仲裁语言为中文,仲裁裁决是终局的,对双方当事人均有约束力。

This Lease Agreement is under the legal authority of PRC. In case any dispute arises over this agreement, the two Parties shall negotiate friendly, if failed, shall submit to the China Int’l Economic & Trade Arbitration Committee in Beijing. The arbitration shall be carried out according to the arbitration rules of the Arbitration Committee, which are in effectiveness when the dispute arose. The arbitration shall be carried out in Beijing and in the language of Chinese. The arbitration award is final and binding to both parties.

十、其它:

10.1 本租约附件是本租约不可分割的组成部分。

The appendix forms are an internal part of the contract.

10.2 本租约自签字之日起生效,租约文本一式二份,甲、乙双方各执一份,中英文具 有同等法律效力。中英文条款及意思如有不一致之处, 以中文为准

This contract shall become effect on the date after the signing by both parties. Each Party shall hold one copy of this original contract. Both Chinese text and English text shall have the same legal effect. In the event that there is any disagreement between the Chinese version and English version, the Chinese version shall prevail.

10.3中英文条款及意思如有不一致之处而引起双方争议,双方应尽量友好解决, 否则应按合同第9条规定由仲裁机构仲裁解决。

In the event that there is any disagreement between the Chinese version and English version, the Parties shall seeks solution on friendly negotiations, otherwise decision shall be made by the Arbitration Commission as stipulated under Section 9.

10.4 本租约如有未尽事宜,由甲、乙双方洽谈解决。

If the contract remains with any outstanding matters, the two parties shall negotiate and resolve peacefully.

本租约于2012年 月日在宁波签订.
