Legal Opinion

To: Liuyuan branch bank of China Bank located in liaocheng city,

Fangzheng law firm located in liaocheng city, acted as the institution of legal affairs of personal residential loan belonging to Liuyuan branch bank of China Bank, appointed attorney Zhanglei and Weilina to review the loan application materials from Mr Lipeng, and issued this legal opinion pursuant to the laws and regulations of our country and liaocheng city.

1. The applicant, Mr. Li, would purchase the real estate located in the 28＃of Zhongtong Garden, whose proportion is 124 square metres, and its price amounts to 386,900 yuan. The number of the

contract is Liao P20081128. He applied the personal residential loan with mortgage, and provided relevant credit documents whose detailed contents are enclosed.

2. The legal opinion bases on the law and regulations below:

The contract law of Peoples Repulic of China, the mortgage law, the rule of lending contact, the interim meansures of administration of personal residential loan of People’s Bank of China, the regulation of mortgage the Branch of China Bank in Liaocheng, the interim meansures of administration of the sale price of the commodity houses, Opinions on Standards of personal residential loan affairs of law firm and Notary Public Office, the entrusted agreement between the Branch Bank of China Bank in Liaocheng and Notary Public Office of Liaocheng, the cooperation agreement of residential loan between the Branch Bank of China Bank in Liaocheng and the enterprises of real estate development, and other laws and regulations.

3. In accordance with the copies of credit materials in the first article and the relevant laws and regulations, agreements in the second article, and based on the conversations between we and Mr.Li, we can affirm the facts as follows:

(1) The applicant of the loan, Mr.Li, bachelor,born at 28,April,in 1982, whose number of the ID is 372501198204281119, who is located in the 11＃in liuyuan Road, Dongchangfu district of Liaocheng.

(2) The applicant of the loan, Mr.Li, is competent to pay the loan. Since July of 2000, Mr.li has been working at the Guangda sicence and technology company limited, acted as the manager. His income after the tax was 4000 yuan per month at 2001, and it has become 5000 yuan. And now Mr. Li takes 61% stakeshare of Guangda sicence and technology company limited which was registered at 1998 with 2,000,000 yuan registration capital.

(3) The expresion of the applicant is authetic.

The applicant has filled in the application of perosnal residential loan, and applies for the loan with respect to 270,000 yuan at 2008, taking the 70% of the pay, and the left 30% , 116,900 yuan, has been paid to Shangjin Real Estate Development Company Limited.

The applicant would like to decide the pattern of “Guarantee of Real Estate Development Company” at the mortgage of the house in Zhongtong Garden. At June 10, 2008, we respectively have signed the commitment,the authorized document of advace sale house, handling the authorized document of mortgage registration. The signature of guarantor in the application, Shanhe Real Estate Development Company, was genuine.

The insurance of the guarantee complied with the Regulations of Personal Residential Guarantee of the branch bank of china bank.

Subject to the foregoing, it is our opinion that the materials Mr.li has prepared are ture and complete, have achieved the conditions of Personal Residential Guarantee of the branch bank of china bank, and the procedures have been performed. So he has the qualification to enter into the convenant of personal residential loan.

The legal opinoin was just used to apply the personal residential loan for Mr.li to your bank. And your bank can handle the relevant procedures with respect to the loan.

The legal opinion consist of 3 paper, including the enclosed part which can not be segregated. The relevant law documents are consistent with the original.
